Ham Radio Deluxe – End User License Agreement (EULA)

Effective Date: Upon Activation

PLEASE READ THIS AGREEMENT CAREFULLY. By clicking “Activate Key,” installing, or otherwise using the Software, the Licensee acknowledges that they have read, understood, and agreed to the terms of this Agreement ("Agreement").

Summary:

  • This license allows you to use current or future releases of the Software indefinitely without additional payment, although any New Features released after the expiration of your New Features & Support Period will remain disabled unless a renewal is purchased.
  • Your purchase includes 12 months of New Features and Technical Support starting from the date of purchase or renewal.
  • You can install it on up to five (5) devices you own, but you may not share the Activation Key.
  • You will need to renew annually to continue receiving New Features and Support.

1. Definitions

  • Vendor: HRD Software LLC.
  • Licensee: The individual or entity that lawfully acquires the Software license directly from the Vendor or an authorized distributor.
  • Software: Ham Radio Deluxe® and Ham Radio Deluxe Software®, including all executables, documentation, updates, and related media.
  • Activation Key: A unique code issued to the Licensee that enables activation of the Software, including current and future versions released by the Vendor, on up to five (5) devices concurrently. The Activation Key is issued for use exclusively by the Licensee. It may not be shared, sold, transferred, or used by other individuals or entities, including within clubs or organizations, unless explicitly authorized in advance and in writing by the Vendor.
  • New Features & Support Period: A 12-month term following the original purchase or renewal date, during which the Licensee is entitled to New Features and Technical Support.
  • Bug Fixes: Corrections to defects in existing Software functionality.
  • Enhancements: Improvements to existing Software features that do not constitute New Features.
  • New Features: Substantive new capabilities or modules introduced in the Software that were not available in earlier versions and are released while the Licensee has an active New Features & Support Period in effect. Any such features released after the expiration of that period remain disabled unless a renewal is purchased. This does not necessarily include separately packaged applications.

2. License Grant

Vendor grants the Licensee a non-exclusive, non-transferable, perpetual license to install and use the Software on up to five (5) devices, solely for personal, non-commercial use by licensed amateur radio operators, recognized amateur radio clubs, or, where applicable, commercial organizations under a separate written agreement with the Vendor.

This license includes:

  • Perpetual access to the Software.
  • Unlimited access to Bug Fixes and Enhancements.
  • Access to New Features and Technical Support for 12 months from the date of purchase or most recent renewal.

This license does not confer ownership of the Software or any associated intellectual property.

Club stations must obtain a separate license if the Software is to be installed on more than five (5) devices or used concurrently by multiple operators.

3. License Restrictions

The Licensee may not:

  • Transfer, sublicense, or distribute the Software to any third party, whether by physical or digital means.
  • Modify, decompile, disassemble, or reverse-engineer the Software.
  • Share or make available the Activation Key to others.
  • Circumvent or attempt to circumvent any licensing or activation mechanisms.

The Licensee may create one backup copy of the Software solely for personal archival and recovery purposes. This copy must not be distributed or used concurrently on separate devices.

Transfers of the license to another individual or entity are not permitted without prior written approval from the Vendor. Reinstallation or hardware migration by the same Licensee is permitted so long as the total number of active activations does not exceed the licensed limit.

Use of the Activation Key by amateur radio clubs is subject to the same restrictions and device limits as individual use. Clubs may not share a single Activation Key across multiple members or households. Use within a club must occur under the club’s license and not under a member’s individual license.

4. Ownership

All rights, title, and intellectual property in and to the Software remain with the Vendor. This Agreement does not transfer ownership of any intellectual property.

5. Copyright, Trademark, & Intellectual Property

Ham Radio Deluxe® and Ham Radio Deluxe Software® are registered trademarks of HRD Software, LLC in the United States. All other trademarks, service marks, and trade names appearing in or associated with the Software are the property of their respective owners.
 This Agreement does not grant the Licensee any rights to use the Vendor’s trademarks or trade dress except as necessary for lawful use of the Software in accordance with this Agreement.

The Software is the exclusive property of HRD Software, LLC and is protected by U.S. and international copyright laws and treaties.

This includes the executable files (e.g., setup.exe), source code, software architecture, graphical user interface, logos, documentation, and all other related materials.

The Software installer is digitally signed by HRD Software, LLC to verify authenticity and integrity.

Portions may be subject to third-party licenses.

Unauthorized reproduction, distribution, or reverse-engineering of any part of the Software is strictly prohibited and may result in civil and criminal penalties.

6. New Features & Support

The initial New Features & Support Period begins at the time of purchase and lasts for 12 months. During this time, the Licensee is entitled to:

  • All Bug Fixes and Enhancements.
  • New Features released prior to the expiration of the Licensee’s most recent New Features & Support Period.
  • Technical Support via the Vendor's support channels during standard business hours as posted on www.hamradiodeluxe.com.

After the New Features & Support Period ends:

  • The Licensee perpetually retains access to the Software, Bug Fixes, Enhancements, and New Features released prior to the expiration of the Licensee’s most recent New Features & Support Period.
  • Access to any New Features released after the expiration of the Licensee’s most recent New Features & Support Period will remain disabled unless a renewal is purchased.
  • Technical Support will no longer be available unless a renewal is purchased.

All Bug Fixes, Enhancements, and eligible New Features are made available exclusively through download from the Vendor’s website or support portal. The Licensee is responsible for regularly downloading available updates during an active New Features & Support Period.

Renewals are available in 12-month increments, restoring access to Technical Support and unlocking New Features released after the expiration of the Licensee’s most recent New Features & Support Period.

7. Activation

The Software may be activated on up to five (5) devices concurrently using the Activation Key. Use beyond this limit requires either deactivating one or more existing devices or purchasing additional licenses, as permitted by the Vendor and subject to the Vendor’s then-current licensing terms.

The Activation Key will activate any version of the Software—present or future. However, any New Features introduced after the expiration of the Licensee’s most recent New Features & Support Period will remain disabled until a renewal is purchased.

8. Term and Termination

This Agreement remains in effect indefinitely unless terminated.

Termination may occur:

  • Automatically, if the Licensee breaches any term of this Agreement.
  • If a refund is issued by the Vendor.
  • If the Vendor determines, in its sole discretion, that the Licensee has engaged in fraud, license circumvention, or other unauthorized or abusive use of the Software.

Upon termination, all rights granted to the Licensee under this Agreement shall immediately cease, and the Licensee must discontinue all use and uninstall the Software from all licensed devices.

The Licensee may also terminate this Agreement at any time by ceasing use of the Software and uninstalling it from all devices.

No refund or credit will be provided in the event of termination due to breach of this Agreement.

The Licensee may request written confirmation of license termination. The Vendor may provide this at its discretion.

9. Limitation of Liability

The Software is provided "as is." Vendor’s total liability shall not exceed the actual amount paid by the Licensee for the Software license during the most recent New Features & Support Period. Vendor is not liable for any indirect, incidental, or consequential damages, including loss of data, revenue, hardware, or use.

This limitation applies regardless of the legal theory under which liability is asserted, including breach of contract, tort (including negligence), strict liability, or otherwise.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitation may not apply to all Licensees. This limitation shall apply even if the Vendor has been advised of the possibility of such damages.

10. No Warranty

Vendor makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Software will be error-free or operate without interruption.

11. Governing Law

This Agreement is governed by the laws of the State of Texas. Any disputes shall be subject to the exclusive jurisdiction and venue of the state or federal courts located in Collin County, Texas. The Licensee expressly waives any objection to personal jurisdiction or venue in these courts.

12. Force Majeure

Vendor is not liable for failure or delay in performance due to causes beyond its control, including but not limited to natural disasters, war, cyberattacks, acts of government, labor disputes, pandemics, or network failures.

13. Miscellaneous

  • This Agreement constitutes the entire agreement between the parties.
  • Modifications to this Agreement must be in writing and signed by both parties or agreed upon via a digital process authorized by the Vendor.
  • Headings are for convenience only and do not affect interpretation.
  • If any provision is deemed unenforceable, it will be reformed to reflect the original intent, and the remainder of the Agreement will remain valid.
  • This Agreement is binding on successors and assigns.
  • This Agreement supersedes all prior EULAs for the Software.
  • Sections 4 (Ownership), 7 (Term and Termination), 8 (Limitation of Liability), 9 (No Warranty), 10 (Governing Law), 14 (Data Collection), and 15 (Export Control) shall survive termination of this Agreement.
  • This Agreement is written in English, which shall be the governing language in the event of any dispute, translation inconsistency, or conflict of interpretation.

14. Data Collection

The Vendor may collect only limited technical data required for license validation, product support, and general Software improvement, as outlined in its Privacy Policy. No personal or behavioral data is collected without the Licensee’s prior, explicit consent. This consent is only required where mandated by applicable law. The Vendor does not sell, rent, or disclose collected data to third parties, except as required by law or as necessary to provide support or maintain licensing integrity.

The Vendor shall implement appropriate technical and organizational measures to safeguard collected data, as described in its Privacy Policy.

15. Export Control

The Licensee agrees to comply with all applicable U.S. and international export laws and regulations. The Software may not be exported or re-exported to countries or persons prohibited by applicable law.

The Licensee further agrees not to use the Software for any purpose prohibited under applicable export laws, including, without limitation, nuclear, missile, chemical, or biological weapons proliferation.

16. Third-Party Software

The Software may include third-party components licensed under separate terms. By using the Software, the Licensee also agrees to comply with those third-party license terms, which are available upon request or as published on the Vendor’s website.

The Vendor disclaims any warranties or liabilities arising from third-party components beyond those explicitly provided by their respective licensors.

17. System Requirements

The Software may require a compatible version of Microsoft Windows and an internet connection for activation and update downloads. The Licensee is responsible for ensuring that their system meets the minimum requirements posted on https://www.hamradiodeluxe.com/support/requirements/.

18. Notices

Notices to Vendor shall be sent to:

Notices must be in English and are considered delivered only upon confirmation of receipt (reply, delivery acknowledgment, or explicit confirmation).

These addresses shall serve as the sole acceptable points of contact for all formal notices under this Agreement, unless otherwise specified in writing by the Vendor.

The Vendor may provide formal notices to the Licensee using the email address associated with the Licensee’s Software Activation. Such notices shall be deemed delivered upon successful transmission, unless a delivery failure notice is received by the Vendor.

This version of the EULA supersedes all prior versions. Archived versions are not publicly available but may be reviewed upon request at the Vendor’s discretion.
